The Securities and Exchange Commission recently adopted new rules requiring public companies to disclose their cybersecurity risk management strategies and governance methods on an annual basis, as well as promptly report material cybersecurity incidents. ISS ESG, the sustainable investment arm of Institutional Shareholder Services, recently enhanced its Environmental & Social (E&S) QualityScore scoring methodology. More than 150 factors underlying the scoring were revised for greater relevance, close to 50 factors retired, and more than 60 new factors added. In this webinar, ISS Corporate Solutions’ Sustainability Advisory team reviewed the enhancements to ISS ESG’s E&S QualityScore methodology.

In 2010, the Dodd-Frank Act mandated a non-binding Advisory Vote on Executive Compensation, know colloquially as “Say-on-Pay.” Executive compensation practices, disclosures, and the regulatory environment have evolved considerably since Dodd-Frank; and Say-on-Pay has become a key process for shareholder-board dialogue. With the new Pay-versus-Performance disclosure requirement and soon to be effective listing standards on clawback policies, all the generally-applicable executive compensation rules mandated by Dodd-Frank will be in place: we are entering a new era for Say-on-Pay.
